Partner terms

These partner terms are between you and Mivo Solutions Ltd, KN 78 St, Nyarugenge, Kigali, Rwanda. In these terms, “we” and “us” mean Mivo Solutions Ltd, and “you” means the person or business accepted into the WebMetric partner programme.

They apply alongside the terms of service, which cover your WebMetric account. Where the two differ on something about the partner programme, these partner terms apply.

• You apply through the partner application and accept the version of these terms shown at the top of this page. The version you accepted is recorded against your partner account.
• A partner uses a normal WebMetric account. Keep its details accurate, including your payout details.
• Our billing team reviews every application and approves or declines it. We tell you the decision by email.

• On approval you get one code of 4 to 20 capital letters and digits. Your partner dashboard shows it with the terms that apply to it.
• A customer enters the code on the plan page or at checkout. The code applies to new paid subscriptions only.
• An organization can use one partner code. You cannot use your own code, and neither can an organization you are a member of.
• A customer who already pays can only be moved to your code by our billing team, with a written reason.

By default, a customer who pays with your code gets 20% off each of their first 3 billing months on monthly billing. On yearly billing the discount applies to the first year only. Your approval may set a different discount for your code. The discount on your partner dashboard is the one that applies.

Paddle, which sells WebMetric plans as Merchant of Record, applies the discount at checkout and shows the customer the amount before they confirm. You never set a price or a discount amount yourself.

• By default you earn 20% of what the customer actually pays, after the discount and excluding tax. Your approval may set a different rate, and your partner dashboard shows the one that applies.
• Commission is earned on the customer’s payments during their first 12 months, counted from their first paid transaction with your code. A yearly payment made in that period earns commission on the whole payment. Later payments earn nothing.
• Each commission is worked out per payment, in the currency of that payment, and rounded down to the smallest unit of that currency.
• If your rate changes, the new rate applies only to payments made after the change. Every commission keeps the rate it was earned at.

A new commission is pending for 14 days, the refund window in the refund policy. After that it becomes payable.

If the payment is refunded or charged back, the commission is reversed, whether it was still pending or had already become payable. A reversal of commission that was already paid to you is deducted from what you earn next.

• We pay monthly. Each currency is paid separately and never added to or converted into another.
• A balance is paid once it reaches 50 in its own currency, for example $50 for a balance in USD. A smaller balance rolls over to the next payout.
• We pay by bank transfer or PayPal, to the details on your partner account. Payout details are encrypted when stored.
• Each payout comes with a statement by email. You can also download a statement for each month from your partner dashboard.
• Every figure on the dashboard and on a statement comes from recorded payments. Nothing is estimated or projected.

You are responsible for any tax due on the commission we pay you. Your statements list each payment, the commission earned on it and its currency, so you have what you need to declare it.

Promote WebMetric honestly. In particular, you must not:

• Run paid search or social ads on the WebMetric name, or on names and misspellings close to it.
• List your code on coupon, voucher or deal sites.
• Use your own code, or have an organization you are a member of use it.
• Send spam, including unsolicited email and messages, or make claims about WebMetric that are not true.
• Present yourself as Mivo Solutions Ltd, or as speaking on our behalf.

If you break these rules, we may pause or close your partner account.

Your partner dashboard shows the names of the organizations that used your code. You never see their analytics data, their visitors or their recordings.

Attribution uses the code alone. WebMetric sets no referral cookie and there are no tracking links, so nothing is stored on anyone’s device to credit you with a customer.

• You can leave the programme at any time by writing to [email protected].
• We may pause or close a partner account, and we tell you the reason. A paused or closed code cannot be used for new subscriptions.
• Customers who already used your code keep their discount for the months it was granted.
• Commission you already earned is still paid. While a partner account is paused, the payout minimum applies as usual.
• When a partner account is closed, the minimum no longer applies. The whole payable balance in each currency is paid in the next payout, and commission still in its holding period is paid once it becomes payable.

You take part as an independent partner. You are not our employee, agent or reseller, and you cannot make promises or agreements on our behalf.

If we change these terms in a way that matters to you, we will email you before the change takes effect. The version and date at the top of this page show which text applies. A change to your rates never affects commission already earned.

These terms are governed by the laws of Rwanda, and the courts of Kigali have jurisdiction, as set out in the terms of service.
